South Dakota LLC Cost (2026): $150 Online, $55 a Year, and No State Income Tax

South Dakota LLC Cost (2026): Filing fee: $150 online or $165 by mail (Articles of Organization, South Dakota Secretary of State). Annual report: $55 online or $70 by mail, due on the first day of the LLC’s anniversary month, starting the year after formation. Expedited service: $50. South Dakota has no personal income tax, no corporate income tax, and no franchise tax on LLCs, but state sales tax (4.2%) applies to most sales and many services. 3-year minimum: $260 DIY, $549 with Northwest Registered Agent.

South Dakota LLC Cost (2026): $150 Online, $55 a Year, and No State Income Tax

South Dakota is one of the few states with no income tax at any level, personal or corporate, and no franchise tax on LLCs. That makes the Secretary of State’s fees the main state cost: $150 to form online and $55 a year after that. Paper filing costs more at both stages, so the online route matters here more than in most states.

Why Filing Online Saves $15 Twice

A South Dakota LLC is formed by filing Articles of Organization with the Secretary of State. Filing online through the state’s business portal costs $150; filing the paper form by mail costs $165. The same $15 gap applies to the annual report, $55 online against $70 on paper.

Over the first three years that is $45 saved just by filing electronically, and online filings are processed faster. Unless you have a specific reason to mail forms, file everything online.

OUR TOP PICK
Northwest Registered Agent

South Dakota shows your registered agent address in its public business search. $39 formation + $150 state fee, free registered agent for year one, then $125/yr.

$39 formation fee · Free registered agent for 12 months · Your address stays off public records · No data selling · No hidden fees

Form Your LLC with Northwest ($39) →Lowest 3-year cost we found: Northwest $289 vs Bizee $298 vs ZenBusiness $497 (service fees; state fees extra). Northwest also puts its address on your public filings instead of yours where the state allows.

The $55 Report on Your Anniversary Month

South Dakota ties the annual report deadline to the month the LLC was formed. The report is due on the first day of that anniversary month each year, starting the year after formation. An LLC formed in June 2026 files by June 1, 2027. The fee is $55 online or $70 by mail.

Because the report is due at the start of the month rather than the end, owners who think “sometime in June” end up late. The Secretary of State can administratively dissolve an LLC that fails to file, so set the reminder for the last week of the month before.

What No Income Tax Covers and What It Doesn’t

No state income tax means South Dakota does not tax the LLC’s profits or your share of them at the state level. Federal income tax and self-employment tax still apply as usual. What South Dakota does collect is sales tax: the state rate is 4.2%, cities add their own, and many services are taxable in South Dakota that would be exempt elsewhere. If you sell products or taxable services, register for a sales tax license with the Department of Revenue before your first sale.

South Dakota’s tax structure is a genuine advantage for residents. It does not help an LLC owner who lives and works in another state, since that state taxes the income and usually requires a foreign registration too.

The $50 Expedite and Other Extras

If you need the LLC approved quickly, South Dakota offers expedited processing for $50 on top of the filing fee. Most owners do not need it. The other optional costs are small: certified copies and certificates of good standing are available for modest fees when a bank or partner asks for them.

When a South Dakota LLC may not be worth it yet: if you live outside South Dakota, forming here usually adds cost, because your home state will still require its own registration and fees. For South Dakota residents with steady income or real liability exposure, the low ongoing cost makes the LLC easy to justify.
