Nebraska LLC Cost (2026): $100 to File, the Newspaper Notice, and a $25 Report Every Two Years
Nebraska’s state filing fees are low, but it is one of the few states that makes new LLCs announce themselves in the newspaper. That publication step is usually the second-largest cost of forming a Nebraska LLC and the one most often skipped by mistake. After formation, the state only asks for a report every other year.

The $100 Certificate of Organization
A Nebraska LLC is formed by filing a Certificate of Organization with the Secretary of State. The fee is $100 when filed online and $110 on paper. The certificate lists the LLC’s name, registered agent and office, and principal office address.
Northwest Registered Agent
Nebraska’s business search shows your registered agent address publicly. $39 formation + $100 state fee, free registered agent for year one, then $125/yr.
$39 formation fee · Free registered agent for 12 months · Your address stays off public records · No data selling · No hidden fees
Form Your LLC with Northwest ($39) →Lowest 3-year cost we found: Northwest $289 vs Bizee $298 vs ZenBusiness $497 (service fees; state fees extra). Northwest also puts its address on your public filings instead of yours where the state allows.
The Newspaper Publication Requirement
After the Certificate of Organization is filed, Nebraska law requires the LLC to publish a notice of organization in a legal newspaper in the county of its designated office, once a week for three consecutive weeks. The notice includes the LLC’s name, registered agent and office, and general nature of business.
Newspapers set their own rates, so the cost ranges from about $40 in some rural counties to $250 or more in Omaha or Lincoln. Once the notice has run, the newspaper provides an affidavit of publication, which you file with the Secretary of State as proof. Call the paper for a quote before filing so you know what to budget. The 3-year table below uses $100 as an estimate.
The $25 Biennial Report in Odd Years
Nebraska LLCs file a biennial report every odd-numbered year, due April 1. The fee is $25 online or $30 on paper. An LLC formed in 2026 files its first report by April 1, 2027, then again in 2029, 2031, and so on. That is why the table shows a report in year two and none in year three.
Some older guides quote a $13 biennial fee, which is outdated. An LLC that fails to file can be administratively dissolved, and reinstatement costs more than the report itself.
Name Reservations and Trade Names
If you are not ready to file but want to hold a name, a Nebraska name reservation costs $30. If the LLC will operate under a brand name different from its legal name, registering that trade name with the Secretary of State costs $100.
Nebraska 3-Year Cost
| Scenario | Year 1 | Year 2 | Year 3 | 3-Year Total |
|---|---|---|---|---|
| Northwest Registered Agent | $239 ($100 + $39 + ~$100 publication, RA free) | $150 ($25 biennial report + $125 RA) | $125 (no report + $125 RA) | $514 |
| ZenBusiness (Starter) | $299 ($100 + $0 + ~$100 publication + $99 RA) | $224 ($25 + $199 RA) | $199 (no report + $199 RA) | $722 |
| DIY, self as registered agent | $200 ($100 filing + ~$100 publication (est.)) | $25 (biennial report, online) | $0 (no report due) | $225 |
A DIY Nebraska LLC costs about $225 over three years, most of it in year one because of the newspaper notice. The $289 extra with Northwest Registered Agent is registered agent service after year one. The agent handles formation, but the newspaper publication is still yours to arrange and pay for.

When a Nebraska LLC may not be worth it yet: the publication cost makes year one more expensive than the filing fee suggests. If you are still testing an idea, a sole proprietorship avoids both the filing and the notice. Form the LLC when contracts, employees, or liability make the protection worth it.
