Connecticut LLC Cost (2026): $120 to Form, $80 Each Spring
Connecticut used to be one of the pricier states to keep an LLC, thanks to a $250 Business Entity Tax on top of the annual report. That tax is gone. What remains is a $120 formation fee and an $80 annual report on a single statewide deadline, which is a fraction of the $500 Massachusetts charges its LLCs every year.

The $120 Certificate of Organization
A Connecticut LLC is formed by filing a Certificate of Organization with the Secretary of the State through business.ct.gov. The fee is $120. Online filers who need a fast answer can add $50 for expedited service.
Reserving a name costs $60, half the formation fee, so most owners who are ready simply file the certificate. The certificate requires a registered agent with a Connecticut address and the LLC’s principal office address.
Northwest Registered Agent
Connecticut’s business records list your registered agent address publicly. $39 formation + $120 state fee, free registered agent for year one, then $125/yr.
$39 formation fee · Free registered agent for 12 months · Your address stays off public records · No data selling · No hidden fees
Form Your LLC with Northwest ($39) →Lowest 3-year cost we found: Northwest $289 vs Bizee $298 vs ZenBusiness $497 (service fees; state fees extra). Northwest also puts its address on your public filings instead of yours where the state allows.
The $80 Annual Report, January to March
Every Connecticut LLC files an annual report for $80. The filing window is the same for everyone: January 1 through March 31. An LLC formed at any point in 2026 files its first report between January 1 and March 31, 2027.
The report is filed online. The Secretary of the State emails a reminder about a month ahead to the address on file, but responsibility for the deadline stays with the LLC.
Missing the Report: Good Standing and Forfeiture
Connecticut does not add a late fee. Instead, an LLC that misses March 31 loses good standing, which can block a loan, a license renewal, or a contract that requires a certificate of good standing. If the LLC stays in default, the Secretary of the State can dissolve it by forfeiture. Reinstatement then requires a certificate of reinstatement and payment of the reinstatement fee.
The Business Entity Tax Is Gone
Older guides still mention Connecticut’s $250 Business Entity Tax, which was due every two years. It was repealed for tax years starting on or after January 1, 2020. A Connecticut LLC today pays no entity-level fee beyond the $80 annual report, and profits pass through to the owners’ Connecticut income tax returns by default.
If the LLC sells taxable goods or services, it also needs a sales and use tax permit from the Department of Revenue Services, which costs $100.
Connecticut 3-Year Cost
| Scenario | Year 1 | Year 2 | Year 3 | 3-Year Total |
|---|---|---|---|---|
| Northwest Registered Agent | $159 ($120 + $39, RA free) | $205 ($80 annual report + $125 RA) | $205 (same) | $569 |
| ZenBusiness (Starter) | $219 ($120 + $0 + $99 RA) | $279 ($80 + $199 RA) | $279 (same) | $777 |
| DIY, self as registered agent | $120 (Certificate of Organization) | $80 (annual report) | $80 (annual report) | $280 |
A DIY Connecticut LLC costs $280 in state fees over three years. The $289 extra with Northwest Registered Agent is registered agent service after year one, which also means the spring annual report reminder does not depend on one inbox.

When a Connecticut LLC may not be worth it yet: at $80 a year the upkeep is moderate. If you have no clients or liability yet, waiting is reasonable; if you do business in Connecticut, form here rather than registering an out-of-state LLC as a foreign entity.
