Oregon LLC Cost (2026): $100 to Form, $100 Every Anniversary
Oregon keeps its LLC pricing symmetrical: $100 to form and $100 every year after. That makes the math easy, and it puts Oregon in the middle of the range for upkeep: more than Colorado or Wisconsin, far less than Maryland or Massachusetts. What deserves attention in Oregon is the deadline enforcement. There is no late fee, just a short fuse before the LLC is dissolved.

The $100 Articles of Organization
Oregon LLCs are formed by filing Articles of Organization with the Oregon Secretary of State, Corporation Division. The fee is $100, whether you file online through the Oregon Business Registry or by mail. Online filings are typically processed within a few business days, and mailed ones take longer.
The articles include the LLC name, the registered agent and its Oregon street address, a mailing address for notices, the principal office, and the organizer. Checks for mailed filings are made payable to the Corporation Division.
Northwest Registered Agent
Oregon’s Business Registry shows your registered agent address publicly. $39 formation + $100 state fee, free registered agent for year one, then $125/yr.
$39 formation fee · Free registered agent for 12 months · Your address stays off public records · No data selling · No hidden fees
Form Your LLC with Northwest ($39) →Lowest 3-year cost we found: Northwest $289 vs Bizee $298 vs ZenBusiness $497 (service fees; state fees extra). Northwest also puts its address on your public filings instead of yours where the state allows.
The $100 Anniversary Annual Report
Each year, an Oregon LLC files an annual report, also called the annual renewal, due on the anniversary of its formation. The fee is $100. The Secretary of State opens filing 45 days before the anniversary, and it is done online.
Unlike many states, Oregon does not add a late fee if you miss the date. That can make the deadline feel soft. It is not, as the next section explains.
45 Days to Dissolution and the Reinstatement Bill
If the annual report is still unfiled 45 days after the anniversary, the Secretary of State administratively dissolves the LLC. A dissolved LLC loses good standing and should not keep doing business as if nothing happened.
Oregon allows reinstatement within five years of dissolution. The cost is $100 for the reinstatement plus $100 for every annual report that was missed. An LLC that lapses for two years pays $300 to come back, the same as three years of normal compliance. After five years, reinstatement is no longer an option and you would have to form a new LLC.
Assumed Names, Name Reservations, and Foreign LLCs
- Assumed business name: operating under a name other than the LLC’s legal name requires an assumed business name registration, $50.
- Name reservation: $100, the same as the formation fee, so most people simply file the articles instead.
- Foreign LLCs: an LLC formed in another state and registered in Oregon pays a $275 annual report fee, much more than a domestic Oregon LLC. Forming in Oregon directly avoids that if Oregon is where you operate.
- No sales tax: Oregon has no general sales tax, so there is no sales tax permit to budget for. LLC profit passes through to the owners’ Oregon income tax returns by default.

A DIY Oregon LLC costs $300 in state fees over three years. The $289 extra with Northwest Registered Agent is registered agent service after year one, including reminders ahead of the anniversary so the 45-day clock never starts.

When an Oregon LLC may not be worth it yet: at $100 a year, the ongoing cost is modest but not trivial for a hobby business. If you have no clients or liability yet, waiting is reasonable. If you operate in Oregon, form here rather than elsewhere, since registering an out-of-state LLC means the $275 foreign annual report.
